Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your use of Holdify's website, API, and related services (the "Service") operated by Holdify ("we", "us", or "our"), registered under KvK 96365323.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

2. Description of Service

Holdify is API access control for subscription businesses that enables developers to:

• Issue and manage API keys
• Verify API requests in real-time
• Enforce rate limits and usage quotas
• Sync entitlements from payment provider subscriptions
• Track usage and maintain audit logs

The Service is designed to work with payment providers for billing and subscription management. Holdify does not process payments directly.

3. Account Registration

To use the Service, you must:

• Create an account with accurate and complete information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized access
• Be at least 18 years old or the age of majority in your jurisdiction

You are responsible for all activities that occur under your account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Transmit malware, spam, or harmful content
• Attempt unauthorized access to systems or data
• Interfere with or disrupt the Service
• Reverse engineer, decompile, or disassemble the Service
• Resell or redistribute the Service without authorization
• Use the Service for illegal gambling, adult content, or weapons

We reserve the right to suspend or terminate access for violations of this policy.

5. API Usage and Rate Limits

Your use of the API is subject to the rate limits and quotas associated with your subscription plan. Current limits are displayed on our Pricing page.

You agree to:

• Respect rate limits and implement appropriate retry logic
• Keep your API keys secure and not share them publicly
• Rotate keys if you suspect they have been compromised
• Use the Service in accordance with our documentation

6. Billing and Payments

Paid subscriptions are billed through your selected payment provider. By subscribing to a paid plan, you agree to the payment provider's terms of service and payment terms.

• Billing cycle: Plans are billed monthly or annually as selected
• Upgrades: Take effect immediately with prorated charges
• Downgrades: Take effect at the next billing cycle
• Refunds: Handled according to the payment provider's refund policy
• Overages: Usage exceeding plan limits may result in service throttling

7. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. The Service is provided "as is" and "as available."

We may temporarily suspend the Service for:

• Scheduled maintenance (with advance notice when possible)
• Emergency security updates
• Events beyond our reasonable control

Enterprise customers may be eligible for a Service Level Agreement (SLA) with uptime guarantees. Contact sales@holdify.io for details.

8. Data Processing

When you use Holdify to verify API requests from your customers, we act as a data processor on your behalf. You remain the data controller for your customers' data.

You are responsible for:

• Ensuring you have a legal basis to process your customers' data
• Providing appropriate privacy notices to your customers
• Responding to data subject requests from your customers

9. Intellectual Property

The Service, including its design, code, documentation, and branding, is owned by Holdify and protected by intellectual property laws.

We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms. You may not:

• Copy, modify, or distribute the Service
• Use our trademarks without permission
• Remove or alter any proprietary notices

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED AVAILABILITY. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR THAT DEFECTS WILL BE CORRECTED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOLDIFY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless Holdify and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

13. Termination

Either party may terminate the agreement:

• You: Cancel your subscription at any time through the dashboard
• Us: Suspend or terminate for violation of these Terms
• Us: Discontinue the Service with 30 days notice

Upon termination, your access to the Service will cease. You may export your data before termination. We may retain certain data as required by law or for legitimate business purposes.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the Service at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance of the updated Terms.

15. Governing Law and Disputes

These Terms are governed by the laws of the Netherlands, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Amsterdam, the Netherlands.

Before initiating legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for at least 30 days.

16. Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and Holdify
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect
• Waiver: Failure to enforce any right does not constitute a waiver
• Assignment: You may not assign these Terms without our consent
